Corporation law problems with emphasis on tans-Pacific business planning and US-Japan parent-subsidiary problems. The major topics of corporation law and discussed, comparing US and Japanese law. The purpose it to enable lawyers to understand the important legal difference between a corporation and corporate governance in the US and a Japanese kabushiki kaisha and emerging corporate governance trends in Japan.
