Terms and Conditions of Sale

Scope

The following Standard Terms and Conditions of Sale are hereby incorporated into the University of Washington Auction site and apply in like force to any subsequent award resulting from the auction.

Applicable Law

Any contract resulting from this auction shall be governed under the laws of the State of Washington. Warranty: All items are sold “AS-IS, WHERE-IS.” The University of Washington makes no guaranty, warranty or representation expressed or implied as to the quantity, kind, size, quality, weight, or description of any of the property or its fitness for any use or purpose whatsoever. The description given is based on the best available information. No claim shall be considered for allowance or adjustment or for rescission of the sale based on failure to inspect the property.

Title

Seller confirms that it has clear title to the property. Title and ownership will transfer to Buyer free of any liens, claims, charges, or encumbrances at the time payment is received by the University’s representative and Buyer or Buyer’s Representative picks up the property from the University of Washington or initiates the transportation process.

Acceptance-Rejection

All bids are subject to University review and approval. University of Washington reserves the right to accept or reject any or all bids. Bids may be rejected for any, but not limited to, the following circumstances: 1) The University’s Auction Site is unavailable for significant duration on the last day of the auction, or is unavailable during the last hour of the auction; 2) The bidder has failed to previously pay for and/or remove other purchases from the University’s Surplus Warehouse; 3) The bidder’s form of payment is rejected; 4) At the sole discretion of the University, any other reason that is deemed to be in the best interest of the University.

Payment

Payment in full is to be made prior to the removal of any equipment/material/item(s) and items must be removed as specified in the individual auction terms and conditions Payment must be by cash, money order, cashier’s check, MasterCard or Visa. Failure to pay by the given deadline may result in forfeiture.

Sales Tax

Washington State sales tax is included in the total sales price to be paid by the Buyer to the University of Washington. Any other taxes assessed or imposed by the United States or any other government entity on this transaction will be paid by the Buyer to the appropriate government agency. Buyer will provide the University with a reseller certificate if it is claiming tax-exempt status.

Removal of Equipment

Items can be picked up on the days and times specified in the individual auction terms and conditions. Buyer will be responsible for crating, transporting, and shipping the equipment from the University. UW staff can provide packing (for some items) for a fee. Please contact UW Surplus at (206) 685-1573. Dollies, carts, etc. are not included in the sale of items unless specified in the item/lot description and must be returned to the warehouse after items have been removed.

Buyer is responsible for risk of loss to the equipment from the time it initiates the transportation process. The equipment must be removed by the date specified in the individual auction terms and conditions. Failure to remove merchandise by the given deadline may result in forfeiture and the item may be returned to the sales floor.

Hold Harmless

Buyer will defend, indemnify, and hold Seller harmless from and against any damage, cost, or liability for any or all injuries to persons or property arising from the transportation, use, or sale of the property to the extent not caused by the negligence of the Seller. Buyer further agrees to hold the Seller harmless from the acts or omissions of the Buyer, Buyer’s employees, agents, or subcontractors, however caused.

Cancellation

The University of Washington reserves the right to cancel any agreement(s) resulting from this auction in whole or part without penalty due to non-compliance with Standard Terms and Conditions.
